By-Laws

ARTICLE III    GOVERNMENT OF THE COUNCIL 

 

SECTION 1: Board of Directors 

 

                        The Board of Directors shall consist of four (4) officers 

 

                        President: Jeanne Abdou

 

                        Vice President: Arlene Wright 

 

                        Secretary: Eileen Dondero 

 

                        Treasurer: JoAnn Bishop       

                       And the appointed positions of:  

                         Community Liaison: Shelly Taylor

                                                      

                         Educational Liaison:  Mary Lewis 

 

                         Webmaster: Denise McPherson 

 

                         Sergeant of Arms: Cynthia Noel 

 

                        SECTION 2: 

 

DUTIES 

 

A). The President of the council is the chief executive officer (CEO) of the Council and shall see that all decisions and resolutions of the Board of Directors are carried out. The President shall preside over all meetings of the Board of Directors and the General Membership. The President shall be an official member of all committees. The President’s duties are to oversee all officers and to insure that the duties are carried out and the committees fulfill their commitments. 

 

B) The Vice President shall preside over the Board of Directors and the General Membership meetings in the absence of the President. The Vice President shall assist the President in all tasks and coordination with regard to the Southern Gulf Coast Nurse Practitioner as well as maintaining membership log and welcoming new members and guests. 

 

 C) The Secretary shall record the minutes of all meetings, be they Board or General, when appropriate. They will be filed as permanent records belonging to the Council. The Secretary shall handle all mailings and correspondence of the Council as directed by the members of the Board. Copies of all correspondence shall be kept. The Secretary shall maintain and have custody of all permanent records of the Council. In the event that it is not possible for the Secretary to attend a meeting, it shall be the duty of the Secretary to appoint an acting Secretary at such meeting for the taking of the minutes. The Secretary shall print, distribute, and process membership applications and coordinate such with the vice president and president. 

 

D. The Treasurer shall have custody of the Council’s bank account and funds. The Treasurer shall keep accounts belonging to the Council containing complete and accurate records of all receipts and disbursements. Both the Treasurer and the President will have check signing authority, or an alternate as deemed necessary.   Expenditures greater than one hundred dollars ($100.00) will require approval of the Board of the Directors. 

 

E). The  Educational  Liaison shall contact and maintain professional relationships with appropriate industries, professional and civic organizations.

 

 F). The Community Liaison shall schedule and organize community focused events with the assistance of the board of directors and act as the council’s good will ambassador. 

 

G).   The Webmaster shall update and maintain the website to ensure that all information is current. 

 

SECTION 3: Resignation 

 

A. Any Board Member may resign their position by providing written notification to the President. 

 

SECTION 4 Parliamentary Procedure 

 

A. All meetings shall be conducted in accordance with the latest edition of Robert’s Rules of Order.
